1. INTRODUCTION

1.1 These General Terms and Conditions of Trading ("Terms") govern the relationship between ADL FERRARO Pty Ltd trading as ADVANCE DENTAL LABORATORY ("ADL", "We", "Us") and its customers ("You", "Client"). These Terms apply to all transactions, agreements, and interactions with ADL and are legally binding upon acceptance.

1.2 By placing an order with ADL, you acknowledge that you have read, understood, and agreed to these Terms in full. If you do not agree to these Terms, you must not place an order or engage with ADL’s services.

1.3 ADL reserves the right to amend, add, delete, or modify any part of these Terms at its sole discretion. Any updates or modifications will be published on our official website at www.advancedentallaboratory.com.au. It is your responsibility to review the Terms periodically, as continued engagement with ADL constitutes acceptance of any changes.

2. ORDERS AND ACCEPTANCE

2.1 All orders placed with ADL constitute an express acceptance of these Terms.

2.2 Orders are binding once they have been confirmed by ADL. Any amendments, modifications, or cancellations must be made in writing and will only be valid upon ADL’s explicit written approval.

2.3 ADL reserves the right to refuse any order at its discretion without obligation to provide a reason. Circumstances under which an order may be refused include, but are not limited to:

  • Incomplete or incorrect order details.

  • Outstanding payments on previous orders.

  • Customer’s failure to comply with these Terms.

  • Infeasibility of manufacturing the requested product.

2.4 Any instructions received by ADL from the Client for the supply of ADL-manufactured devices shall constitute acceptance of these Terms. Once an order is accepted, the Client is bound by these Terms, and modifications require written consent from ADL.

3. PRICING AND PAYMENT TERMS

.1 All prices are denominated in Australian Dollars (AUD) and are subject to applicable Goods and Services Tax (GST) as per Australian taxation laws.

3.2 ADL’s official price list determines the cost of products and services. Prices are subject to change without prior notice at ADL’s discretion.

3.3 Prices are reviewed annually and may be adjusted in accordance with the Consumer Price Index (CPI) effective from July 1st each year. It is the Client’s responsibility to verify pricing before placing an order.

3.4 Claims regarding shortages or discrepancies in delivery must be reported to ADL within seven (7) days of receipt. Claims made after this period will not be considered.

Payment Terms:

  • Invoices: Individual invoices, 14 days, however if part of statement 30 days net.

  • Accounts: 30 days net. Extension upon Director's consideration and in writing. 

  • Extensions: A 7-day grace period is provided from the statement date.

  • Payment Methods:

    • Electronic Funds Transfer (EFT) - in progress to obtain merchant facility, available soon.

    • Credit Card (1% surcharge applies; 1.3% for American Express) via stripe services.

    • Cheque

  • Overdue Accounts: ADL reserves the right to apply interest and administrative fees on overdue balances. Additional recovery costs, including legal fees, may be charged where applicable.

4. RETENTION OF TITLE & RISK

4.1 Ownership of Goods:

  • All products remain the property of ADL until full payment is received.

  • In the event of non-payment, ADL reserves the right to reclaim goods or goods of equal value.

  • If the Client undergoes bankruptcy, liquidation, or changes ownership, these Terms remain enforceable.

4.2 Liability:

  • The Client assumes full liability for goods once they are delivered.

  • Directors of the purchasing company shall be held personally liable for outstanding payments.

5. TURNAROUND TIMES & DELIVERY

5.1 Standard turnaround times for manufacturing are 2-10 in-lab days from the date ADL receives the package.

5.2. Delivery within a 25 km radius from ADL's trading location at 870 Beaufort St, Inglewood WA 6052 is free of charge and conducted by ADL. For deliveries or collections outside the 25 km radius, a flat fee of $15.00 will apply for each collection/delivery which are conducted by a third-party courier service. This fee is applicable per collection, not per job, meaning multiple cases forming part of one collection will be charged a single flat fee of $15.00

5.3 ADL is not liable for delays caused by unforeseen circumstances, technical queries, or third-party involvement.

5.4 The Client is responsible for ensuring that cases are delivered to ADL in a timely and secure manner. ADL is not liable for loss, damage, or delays incurred in transit.

5.5 Completed work is returned via third-party couriers. ADL is not responsible for any delays caused by courier services.

5.6 Return of Goods:

  • Prior approval must be obtained before returning any goods.

  • A corresponding tax invoice must accompany returned goods; otherwise, credit or replacement will not be authorized.

  • Freight charges for returns are borne by the Client unless otherwise arranged and agreed upon with ADL.

6. QUALITY CONTROL & MANUFACTURING PROCESS

6.1 All products are manufactured based on the specifications provided by the Client. If no specific preference is stated, ADL defaults to its Classic Range and applies corresponding pricing.

6.2 Some manufacturing processes may be outsourced, including to overseas facilities, to ensure the highest quality standards. All outsourced work is supervised and quality-checked by ADL’s senior technicians.

6.3 If an impression or material received is deemed substandard, ADL reserves the right to:

  • Request new impressions or materials.

  • Attempt to rectify defects at an additional charge.

  • Void any warranties if the Client insists on proceeding with substandard materials.

6.4 Implant Component Handling Fee:

  • ADL applies a 10% handling fee on implant components purchased on behalf of a Client.

  • Clients may provide their supplier account details to avoid this fee.

7. WARRANTIES & LIMITATIONS OF LIABILITY

7.1 Warranty Period:

  • Splints and dentures: 6-month warranty against defects in materials and workmanship.

  • The warranty applies from the date of the invoice.

7.2 Warranty Exclusions:

  • Precious or semi-precious metals.

  • Implant components.

  • Removable products, including mouthguards, dentures, splints, and orthodontic appliances.

7.3 Warranty Conditions:

  • The defective product must be returned to ADL for assessment.

  • The warranty applies only to the original purchasing dentist and is non-transferable.

  • ADL retains full discretion in determining whether a refund, repair, or replacement is warranted.

7.4 Limitations of Liability:

  • ADL is not liable for clinical costs if a product is deemed unsuitable for its intended use.

  • The Client is solely responsible for ensuring that any ordered product is fit for purpose.

By placing an order with ADL, you expressly agree to abide by these Terms. Should any disputes arise, they shall be resolved in accordance with the laws of Western Australia.
